I have formed corporations, partnerships and limited liability companies for small businesses. Over the years, these have varied from entities owned by one person who needed the protection of a limited liability company or a corporation to a few people who needed to structure their business relationship. I have advised those businesses in transactions including contracts and leases. In some instances, the client needs a contract drafted, in others the client has been presented with a proposed contract and needs review and representation in finalizing the contract.
: In one instance, I formed a corporation for a business that was being killed by overseas
underpriced competition in order to separate the owner’s assets from those of the business. The business was finally successfully wound down after determination that it could not meet the price competition from overseas.
